OutPersonals Affiliate Programs

Eligibility. Any affiliate (“affiliate” “you,” or “your”) becomes a qualified affiliate (“Qualified Affiliate”) and is eligible to receive the ‘Win Your Own Slice of Paradise’ Bonus Award (the “Bonus Award”) by affirmatively electing to participate as provided Bonus Details page. Only affiliates who participate in a standard affiliate payout program are eligible; affiliates subject to special payouts programs are not eligible.
Terms and Definitions.
1. “Eligible Sites” means all sites operated Various, Inc and its affiliated entities.
2. “New Revenue” means all revenue from New Orders placed by all end-users on any Eligible Sites. New Revenue excludes renewal and recurring orders and re-orders. New Revenue also excludes any funds that are ultimately subject to a chargeback, refund, credit or other similar return of funds to the end-user.
3. “Daily Average New Revenue” means New Revenue for the subject weeks in October or November divided by 7 or during December divided by 31.
4. For the Weekly Bonus Award, the “Daily Average New Revenue Baseline” means New Revenue for July, August and September divided by 92. The minimum Daily Average New Revenue Baseline is $1. For the Monthly Bonus Award, the “Daily Average New Revenue Baseline” means New Revenue for October and November divided by 61.
Capitalized terms used but not defined herein have the meanings ascribed to them in the Various Affiliate Network Agreement, as amended from time to time.
Weekly and Monthly Bonus Awards. The Qualified Affiliates will receive Bonus Awards as described on the Bonus Details page as follows:
1. Weekly Bonus Award. Highest dollar amount increase of Daily Average New Revenue compared to the Daily Average New Revenue Baseline during the following weeks: October 4^th–10^th (Week One), October 11^th–17^th (Week Two), October 18^th–24^th (Week Three), October 25^th–October 31^st (Week Four), November 1^st–7^th (Week Five), November 8^th–14^th (Week Six), November 15^th–21^st (Week Seven) and November 22^nd–28^th (Week Eight). There are 32 weekly Bonus Awards in total.
2. Monthly Bonus Award. Highest dollar amount increase of Daily Average New Revenue compared to the Daily Average New Revenue Baseline during the month of December. There is one Monthly Bonus Award.
We will notify you on the Bonus Details page of your current standings compared to other Qualified Affiliates.
Buckets.
1. For the Weekly Bonus Award, there are 4 groupings or buckets (“Bucket(s)”) based upon the Qualified Affiliate’s “Daily Average New Revenue Baseline”. Each Qualified Affiliate is placed in the Bucket along with other Qualified Affiliates who have a similar “Daily Average New Revenue Baseline” profile. Various shall make the sole discretion to determine the assignments for each Bucket. The Buckets are ranked 1 through 4 representing the highest to lowest Daily Average New Revenue Baselines.
2. For the Monthly Bonus Award, there is one Bucket. The Bucket includes all Qualified Affiliates from Buckets 1 and 2 whose Daily Average New Revenue dollar amount increased in October and November. The Bucket also includes the top 50% Qualified Affiliates from Buckets 3 and 4 whose Daily Average New Revenue dollar amount increased by at least $50 during these two months.
Information about your Bucket will be displayed on the Bonus Details page.
Multiple or Duplicate Bonus Awards. Only one Weekly Bonus Award per GPID per Qualified Affiliate.
Cash In-lieu Award. In lieu of the announced award, i.e., the party or the condominium, the Qualified Affiliate who earns the award may elect to receive the $3,500 for the Weekly Bonus Award and $75,000 for the Monthly Bonus Award.
Party. Each Bonus Award consists of the certain travel package and party as is described on the Bonus Details page. We reserve the right to substitute all or some of the elements of a travel package/party with similar items.
Condominium. For the Monthly Bonus Award we will contribute $150,000 towards the purchase of a condominium in south Florida. (There is not a specific condominium.) The $150,000 may include any bona fide closing costs and related expenses. The $150,000 shall not include any balance remaining after the purchase. The purchase must close on or before June 30, 2011.
Date of Bonus Award. The announcement of the Bonus Awards will take place on or before February 20, 2011.
Employees Not Eligible. Employees, and their immediate family members, agents and vendors (other than advertising affiliates) of Various, Inc., including, its subsidiaries, its parent company, Friendfinder Networks Inc., and its affiliated entities (collectively, "Various") are not eligible to participate.
Affiliates with Multiple GPIDs. In cases where a Qualified Affiliate owns multiple GPIDs, all the GPIDs will be combined and used in calculating the baselines and determining the award.
Compliance with Affiliate Network Agreement. To receive the Bonus Award, the Qualified Affiliate must be in good standing and in compliance with the terms and conditions of the Various Affiliate Network Agreement, whichever is applicable.
Collusion. Qualified Affiliates acting in collusion with each other to increase their New Orders will be disqualified from receiving the Bonus Award.
Miscellaneous. The names of participating affiliates will not be disclosed. However, we reserve the right to publicize the name of the Qualified Affiliates who receive any Bonus Award. You may be required to sign a release (of publicity rights) in order to receive the Bonus Award. We have the final interpretation of the terms of the Affiliate Network Agreement and the rules of this Bonus Award. Any and all disputes are governed by California law and subject to mandatory arbitration in accordance with rules and standards JAMS (http://www.jamsadr.com) in Santa Clara County. Taxes and duties, if any, on the Bonus Award are your sole responsibility.
